And, on the other hand, any person wishing to make a purchase through the Preprod website

https://preprod-test.kaudaj.com/ hereinafter referred to as “the User”.

The parties agree that these terms and conditions of sale, as available on the day of purchase, exclusively govern their relationship. The language offered for concluding the contract between the parties is French or English.

Should any term be missing, it shall be deemed to be governed by the practices in force in the distance-selling sector for companies having their registered office in France.

1- Purpose

These terms and conditions are intended to define the terms of sale between Preprod and the User, from the placing of orders to after-sales service, including payment and delivery.

2- Products

The Products governed by these General Terms and Conditions, hereinafter referred to as “the Products”, are those listed on the website https://preprod-test.kaudaj.com/. They are offered subject to available stock and/or are indicated as restockable.

3- Orders

The User may place an order from the online catalogue.

Any order constitutes acceptance of the prices and descriptions of the products available for sale. The User may modify their basket before final confirmation, this last step formalising the contract of sale between Preprod and the User.
In certain cases, in particular in the event of non-payment, an incorrect address or any other problem with the User's account, Preprod reserves the right to block the User's order until the problem is resolved.

Orders may be sent to Preprod by post, via the Internet or by telephone directly to our sales department (anon@example.invalid - +33 0 00 00 00 00)

We will ship all the items on the order to the address provided by the customer, according to the lead times and product availability shown on the product page.

If a product is permanently unavailable, we will offer the customer a product with identical or superior characteristics, which the customer may accept or refuse. In the case of a low-value backorder, we reserve the right to cancel the backorder and, where applicable, to refund it (in the event of advance payment).

As we mainly sell obsolete products, the lead time for a product may occasionally be extended (the customer will then be informed and will confirm either their agreement or the cancellation of the order).

An order may also be cancelled, in particular where there is only a single source of supply and the product cannot be found in stock or is deemed non-compliant by our goods-inwards department.

Of course, we make every effort to ensure that this happens only very rarely, but in such cases no compensation or indemnity may be claimed.

Orders involving split or scheduled deliveries at the customer's request, or concerning products not listed by Preprod (non-catalogue products), are considered firm. They may not be cancelled in whole or in part. For such orders, a deposit or even full prepayment may be required.

4- Delivery

Parcels can be shipped worldwide. The User should refer to the "Delivery" section of the website https://preprod-test.kaudaj.com/ for shipping terms and costs.

Shipping costs, for all destinations, are set as a flat rate up to 5 kg. Above this weight, a surcharge is applied to the shipping costs and will be communicated at the time of ordering.

Our delivery times run from the date of the order acknowledgement. Delivery times are given for information only and are not guaranteed. Exceeding them shall give rise neither to cancellation of the order nor to any compensation.

Preprod is authorised to make full or partial deliveries, subject to availability, while honouring the shipping amount agreed at the time of the order. In all cases, compliance with delivery times is conditional upon the buyer being up to date with all their obligations towards Preprod, whatever the cause. A buyer who receives a partial delivery, in particular due to limited stock, shall not be entitled to any compensation.

Goods travel at the risk of the customer, who takes delivery of them under their own responsibility, whatever the mode of transport or method of payment. It is the customer's responsibility to check the quantity, quality, weight and dimensions of the goods delivered upon receipt and, in the event of damage, to pursue any claims against the carrier. In the event of direct delivery by Preprod, the customer must report any damage or defects to the delivery driver.

5- Payment

The User has several payment methods available:

  • Online at the time of ordering by bank card: Carte Bleue, Visa, Mastercard. The User's account will be debited when the order is placed. If products are sold out or unavailable, a refund will be issued as soon as the supply problem is known. Bank card transactions are processed through REVOLUT's secure payment system. This procedure is designed to protect you against fraud.
  • Online at the time of ordering via PayPal:
The User's PayPal account is debited directly as soon as the order is placed. If Products are sold out, a refund will be made directly to the User's PayPal account.

  • By bank transfer: available items are shipped once the transfer has been received.
    Bank account: REVOLUT

Orders for non-stocked or non-catalogue products are payable when the order is placed, unless otherwise agreed in writing.

Preprod reserves the right to make partial deliveries accompanied by a separate invoice. Each partial delivery shall be considered a separate contract. The customer may not, therefore, withhold payment for the goods delivered on the grounds that the remainder of the equipment ordered is still awaited.

However, Preprod may not charge more shipping costs than indicated on the order.

6- Prices

Prices are quoted in euros, all taxes included.
These prices do not include the flat-rate contribution to handling costs (postage, packaging and parcel preparation, according to the rates in force).

Should one or more taxes or contributions, in particular environmental ones, be created or modified, whether upwards or downwards, this change may be passed on to the selling price of the items on the Preprod website and sales documents.

The User shall also pay a flat-rate amount as a contribution to the handling and shipping costs of the order (unless they benefit from a special offer exempting them from it), the amount of which will be specified on the order form before the order is confirmed. This contribution may depend on the products ordered.

If an incorrect, manifestly derisory price is displayed, whatever the reason (software bug, manual error, technical error, fraudulent use of the voucher system), the User's order, even if already confirmed by Preprod, will be cancelled, and Preprod will inform the User as soon as possible. The User may then, if they wish, place the order again at the corrected and accurate price.

7- Right of withdrawal and returns

The User has a right of withdrawal of fourteen (14) calendar days from the date of receipt or collection of their parcel.

If the User's withdrawal period expires on a weekend, public holiday or non-working day, it is extended until the next working day.

To exercise their right of withdrawal, the User must notify Preprod customer service (anon@example.invalid) of their decision to withdraw from this contract by means of an unambiguous statement: by letter sent by post, or by email via the “contact us” section.

If the User uses this option, Preprod will send them an acknowledgement of receipt of their withdrawal by email without delay.

All Products are eligible for a refund, except those excluded because they have been customised at the User's request (in particular matched tubes, etc.)

The User must ensure that the order they are withdrawing from is returned complete. Products to be taken back must be intact and complete. Items returned incomplete, spoiled or damaged will not be accepted.

The User must send back or return the goods to Preprod at the address below, without undue delay and in any event no later than fourteen days after communicating to Preprod their decision to withdraw from this contract. This deadline is deemed to have been met if the User sends back the goods before the fourteen-day period has expired.

Preprod

3 Rue des 7 iles 56880 XXXXXXX FRANCE

The User may return their Product to Preprod by post (La Poste) without having to give a reason.

When exercising the right of withdrawal, return costs are borne by the User (except in the case of a Product that is defective on receipt, or an error in the shipment of the Product).

Effects of withdrawal

If the User withdraws from this contract, Preprod will refund all payments received from the User, including delivery costs, without undue delay and in any event no later than fourteen days from the day on which Preprod is informed of the User's decision to withdraw from this contract.

Preprod may withhold the refund until it has received the goods or until the User has provided proof of shipment of the goods (copy of the Colissimo dispatch note), whichever occurs first.

Preprod will refund the User for the returned Products and the shipping costs initially paid, provided that the return conditions set out above are complied with.

The User will be refunded using the same payment method as that used to pay for the returned order. This refund will not incur any costs for the User.

8- Warranties

Commercial warranties

Electronic components are guaranteed for 1 year, with the exception of vacuum tubes, which are guaranteed for 3 months only.

Legal warranties

The manufacturer's commercial warranty or Preprod's commercial warranty do not preclude the benefit of the legal warranty against hidden defects in the products sold and the legal warranty of conformity of the goods with the contract.

Legal warranty of conformity (see reference texts below):

When the User acts under the legal warranty of conformity:

  • They have a period of 2 years from delivery of the goods in which to act (Article L217-3 of the French Consumer Code)
  • They may choose between repair or replacement of the goods (Article L217-9 of the French Consumer Code), although the seller may decline to proceed according to that choice if the requested remedy is impossible or entails disproportionate costs (Article L217-12 of the French Consumer Code).
  • They are exempt from proving the existence of the lack of conformity during the twenty-four months following delivery of the goods, reduced to twelve months for second-hand goods (Article L217-7 of the French Consumer Code).

The legal warranty of conformity applies independently of any commercial warranty or manufacturer's warranty that may have been granted.

Legal warranty against hidden defects in the products sold (see reference texts below):
The User may decide to invoke the legal warranty against hidden defects in the item sold, as provided for in Article 1641 of the French Civil Code. In this case, they may choose between rescission of the sale or a reduction in the sale price, in accordance with Article 1644 of the French Civil Code.

Boxed notice required by Article D. 211-2 of the French Consumer Code (translation provided for information; the French text is authoritative):

The consumer has a period of two years from delivery of the goods to obtain the implementation of the legal warranty of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

Where the contract for the sale of the goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the legal warranty applies to that digital content or digital service throughout the intended supply period. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared.

The legal warranty of conformity requires the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

The legal warranty of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, free of charge and without major inconvenience to them.

If the goods are repaired under the legal warranty of conformity, the consumer benefits from a six-month extension of the initial warranty.

If the consumer requests the repair of the goods but the seller imposes replacement, the legal warranty of conformity is renewed for a period of two years from the date of replacement of the goods.

The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and obtain a full refund upon returning the goods, if:
1° The professional refuses to repair or replace the goods;
2° The repair or replacement of the goods takes place more than thirty days after the request;
3° The repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer definitively bears the costs of taking back or removing the non-conforming goods, or bears the costs of installing the repaired or replacement goods;
4° The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a reduction in the price of the goods or to the termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. The consumer is then not required to request the repair or replacement of the goods beforehand.

The consumer is not entitled to terminate the sale if the lack of conformity is minor.

Any period during which the goods are immobilised for repair or replacement suspends the remaining warranty period until the repaired goods are delivered.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.

A seller who obstructs in bad faith the implementation of the legal warranty of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).

The consumer also benefits from the legal warranty against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are kept, or to a full refund upon returning the goods.

Article 1641 of the French Civil Code:
The seller is bound by a warranty against hidden defects in the item sold which render it unfit for its intended use, or which so diminish that use that the buyer would not have purchased it, or would have paid a lower price for it, had they known of them.

Article 1648 of the French Civil Code:
An action arising from latent defects must be brought by the buyer within two years of discovering the defect. In the case provided for in Article 1642-1, the action must be brought, on pain of being time-barred, within one year of the date on which the seller may be released from liability for apparent defects or lack of conformity.

Except where a legal warranty applies, any transaction between Preprod and the User resulting from a lack of conformity that is not disputed within 24 months may not give rise to a claim.

Preprod's After-Sales Service will return your product to the supplier (approximately 4 weeks), or exchange your product.

NB: In all cases, the warranty applies only to the parts sold, and all other warranty actions or claims are excluded, in particular compensation for direct or indirect damage caused to persons or to objects other than the products delivered, as well as any loss of profit. The warranty does not entail any reimbursement by Preprod of labour costs that may be incurred by the User.
